These Terms of Service ("Terms") are a binding agreement between you and Nexiby LLC ("Nexiby," "we," "us," or "our"), a limited liability company organized under the laws of Wyoming, United States, and the operator of Webwatchly ("Webwatchly," the "Service"). By creating an account or using the Service at webwatchly.com, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
Webwatchly is a website change monitoring service that tracks SEO-critical page elements and alerts you when changes occur or when Google Search Console performance drops. The Service includes:
To use the Service, you must create an account. You agree to provide accurate, current, and complete information, keep your account information up to date, maintain the security of your password, accept responsibility for all activity under your account, and notify us immediately of any unauthorized use.
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.
Webwatchly offers a free plan and paid subscription plans with different features and limits, including the number of websites, monitored URLs, alert severities, and history retention. Current plans, prices, and limits are listed on our pricing page at webwatchly.com/#pricing. Plan limits are enforced automatically; exceeding them requires an upgrade.
Paid subscriptions are billed in advance on a monthly or annual basis through our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
We may change plan pricing with at least 30 days' notice. Price changes take effect at your next billing cycle after the notice period. If you do not agree to a price change, you may cancel before it takes effect.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then. Fees are non-refundable, and we do not provide refunds or credits for partial billing periods, except where required by law.
If you downgrade or your subscription lapses, features and limits of the lower plan apply immediately at the start of the next billing period. Monitoring history that exceeds your new plan's retention window may be deleted.

You represent and warrant that you own, operate, or have authorization to monitor every website and URL you add to the Service, and that your monitoring complies with all applicable laws and any terms that apply to the monitored websites. You are solely responsible for the URLs you add.
The Service takes periodic snapshots of publicly available pages at the URLs you add. We do not bypass authentication, paywalls, or access controls. We may skip or delay monitoring of pages that are unavailable, block automated access, or exceed reasonable size limits.
Monitoring frequency, change detection, and alert delivery are provided on a best-effort basis. Network conditions, server responses, and third-party behavior can affect results. The Service is a monitoring aid, not a guarantee that every change will be detected or every alert delivered instantly.
The Search Console integration is optional. By connecting it, you authorize Webwatchly to access performance data for your verified properties through Google's official API, and you represent that you are authorized to grant that access. Your use of Google services is also governed by Google's own terms and privacy policy. You can disconnect the integration at any time from your account settings, which stops further data collection. We are not responsible for the accuracy, availability, or changes of data provided by Google.
The Service uses AI to generate plain-English explanations and suggested next steps for detected changes and performance drops. These explanations are provided for informational purposes only. They are automatically generated, may occasionally be inaccurate or incomplete, and do not constitute professional SEO, business, or legal advice. You are responsible for evaluating any explanation before acting on it, and we are not liable for actions taken based on AI-generated content.
We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance, with advance notice where practical, and we may modify, suspend, or discontinue features of the Service with reasonable notice. If we discontinue the Service entirely, we will provide reasonable advance notice to paid subscribers.
The Service, including its software, design, content, features, and branding, is owned by Nexiby LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
You retain all rights to your data, including your monitoring configuration and the content of the websites you monitor. You grant us a limited license to collect, store, process, and display this data solely to provide and improve the Service.
If you send us feedback, suggestions, or ideas, we may use them without restriction or obligation to you.
The Service integrates with third-party platforms, including Google Search Console and our payment processor. Your use of any third-party service is subject to that party's own terms and privacy policy, and we are not responsible for third-party services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY CHANGE, THAT ALERTS WILL BE DELIVERED WITHOUT DELAY, OR THAT AI EXPLANATIONS WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER NEXIBY NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR 50 US DOLLARS IF YOU HAVE PAID NOTHING; AND (C) WE ARE NOT LIABLE FOR MISSED CHANGES, DELAYED ALERTS, OR ACTIONS YOU TAKE BASED ON ALERTS, DATA, OR AI EXPLANATIONS FROM THE SERVICE.
You agree to indemnify and hold harmless Nexiby LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, the websites you monitor, your violation of these Terms, or your violation of any law or third-party right.
You may stop using the Service and delete your account at any time from your account settings or by contacting us.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive activity, or fail to pay applicable fees. Where practical, we will notify you and give you an opportunity to remedy the issue before termination.
Upon termination, your right to use the Service ends immediately. We may delete your data after termination in accordance with our Privacy Policy. Sections that by their nature should survive termination, including Sections 9, 11, 12, 13, and 15, will survive.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration on an individual basis, except where prohibited by law, and you waive the right to participate in class actions. Either party may bring claims in small claims court where eligible. Before filing any claim, you agree to contact us at support@webwatchly.com and attempt to resolve the dispute informally for at least 30 days.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice within the Service before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nexiby regarding the Service.
